User Submission Agreement & Content License

1. Definitions

• "Your Content" means the business information, descriptions, logos, services, products, FAQs, reviews, case studies, media mentions, photographs, and any other materials you submit to the Service.
• "Imported Content" means content brought into the Service from a third-party source (e.g., your website, Google reviews) at your direction.
• "AI Output" means text, summaries, embeddings, or other artifacts generated by AI features of the Service from inputs you provide.

2. Ownership

You retain all right, title, and interest in and to Your Content, subject to the licenses you grant in this Agreement.

3. License You Grant to Us

You grant AI MARKETING SALES LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (including reformatting and creating structured-data versions), publish, publicly display, publicly perform, distribute, and otherwise use Your Content for the following purposes:

• operating, providing, and improving the Service;
• rendering Your Content on the public directory once approved;
• publishing Your Content in machine-readable formats (e.g., JSON-LD, sitemaps, structured-data files, the /llms.txt file) intended to make Your Content discoverable and citeable by search engines and AI answer engines;
• permitting AI and search engine crawlers to ingest, index, and summarize Your Content in their products;
• marketing and promoting the Service (e.g., showcasing examples, aggregated statistics);
• generating AI Output and analytics derived from Your Content.

The license is perpetual and irrevocable solely with respect to copies and derivatives that pre-date your removal request and that cannot reasonably be recalled (e.g., copies already ingested by third-party search/AI indexes, archived sitemap snapshots, or analytics data already aggregated). For all other purposes the license terminates when you delete Your Content or close your account (Section 9).

4. Imported Content

When you initiate an import (for example, importing your website or Google reviews), you instruct us to fetch and process publicly available materials on your behalf. You represent that:

• you have the legal right to import the materials and to display them on your profile;
• your import is permitted by the source platform's terms of service;
• imported reviews represent the genuine opinions of identified third-party reviewers; and
• you will not modify imported reviews in a way that misrepresents the reviewer's opinion.

We display imported reviews with attribution to the source and, where provided, a link back to the source listing.

5. AI Processing of Your Content

You authorize us to send Your Content (and publicly available content from URLs you submit) to our AI service providers (currently OpenAI) for the purpose of generating suggestions, summaries, extracted fields, and other AI Output. AI Output is presented to you for review before it is published; you control whether to accept it.

Inputs and outputs may be retained by AI providers per their own terms. As of the effective date, OpenAI's API policy does not use API inputs to train its public models, but we cannot guarantee provider terms will not change. Do not submit content that you are not authorized to share with a third-party AI processor.

6. Your Representations & Warranties

You represent and warrant that:

• you own Your Content or have all necessary rights, licenses, permissions, releases, and consents to submit it and to grant the licenses in this Agreement;
• Your Content does not infringe or misappropriate any third-party copyright, trademark, trade secret, patent, right of privacy, right of publicity, or other proprietary right;
• Your Content is accurate, not misleading, and not deceptive in any material respect;
• you will not submit reviews or testimonials that are fake, paid without disclosure, coerced, or otherwise inauthentic, and you will comply with the FTC Endorsement Guides and the FTC's Final Rule on Fake Reviews and Testimonials (16 C.F.R. Part 465);
• you will not impersonate any person or business, and you will only create or claim a profile for a business you are authorized to represent.

7. Moderation & Removal

We may, in our sole discretion and at any time, refuse, edit, restrict access to, or remove Your Content, including by un-approving an already-published profile. We have no obligation to monitor or pre-screen Your Content, and we are not liable for any failure to do so. We will respond to valid copyright complaints in accordance with our DMCA Policy.

8. Feedback License

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the Feedback into our products and services without restriction or compensation.

9. Termination & Effect of Removal

When you delete Your Content or close your account, we will remove Your Content from active public surfaces of the Service within a commercially reasonable period. Residual copies may remain in backups, caches, third-party search/AI indexes, and aggregated analytics; we will not retain Your Content for purposes other than legal compliance and dispute resolution after that period.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any third party claim or liability arising out of or relating to Your Content, Imported Content brought in at your direction, your reps and warranties in this Agreement, or your violation of applicable law.

11. Changes

We may update this Agreement from time to time. If we make material changes, we will provide notice. Continued use of the Service after the effective date constitutes acceptance.
